Join us as Carly A. Roberts, an attorney with Morrison & Foerster, LLP, discusses how a change in residency can be used as an effective estate-planning tool, including a discussion of California residency connections that are often overlooked or marginalized by taxpayers attempting to change their state of domicile and residence. She will also discuss the latest developments pertaining to California’s taxation of trusts and recent efforts to amend California’s statutory provisions for taxing trusts.

In addition to spending a great day on the greens, you’ll be helping us raise funds for our chapter scholarship program—$14,500 in scholarship funds were awarded to area students in early 2010! With its numerous public charities, private schools and membership organizations, Sacramento has served as a great location from which to operate hundreds of nonprofits. For this reason, the chapter is revitalizing its Nonprofit Committee, designed to provide education and networking to chapter members involved in or wanting to learn more about the nonprofit sector. Discussion topics are being finalized, so whether the new IRS Form 990 or FAS 157’s impact on nonprofits has you scratching your head, join the committee and get the topics you want addressed known.

This special event will feature diverse speakers who will discuss the many career options for CPAs, their experiences and how they arrived at where they are today. The event also will provide opportunities for students to meet with many Sacramento-area CPAs and firms.
Additionally, luncheon sponsorship packages are available to fit any firm’s budget. Sponsorships range from $50 student sponsorships to $500 event sponsorships. Most of the sponsorships include a booth at the event. For more information, contact Serena Tomato.

The governor of Nevada recently approved Nevada Senate Bill 350, which was effective Oct. 1, 2009. The bill creates two new types of business entities: a restricted limited liability company (restricted LLC) and a restricted limited partnership. We will focus on LPs for simplicity; however, the following discussion also applies to restricted limited liability companies.
The restricted LP is an ordinary Nevada LP that elects to be restricted by checking the appropriate box on the Certificate of Partnership. Once the election is made, unless otherwise stated in the Certificate of Partnership, the LP cannot make any distributions to the partners with respect to their partnership interest until 10 years after the formation of the LP or amendments of the Certificate of Partnership of an existing partnership are made. The 10-year lock-in is a ceiling and a default restriction period that can be reduced by stating a shorter restriction period in an attachment to the Certificate of Partnership. The limited partnership agreement must also state the additional restrictions.
